Transactional Attorney

Transactional Attorney - New York, NY (Manhattan)

A well-respected Manhattan law firm is seeking a Transactional Attorney to join its growing corporate and business practice. The firm represents a diverse range of clients, including emerging companies, established businesses, entrepreneurs, and institutions. This role offers the opportunity to work on sophisticated commercial transactions, corporate governance matters, and contract drafting within a collaborative team environment.

Qualifications

• Juris Doctor (JD) from an accredited law school
• Admission to the New York Bar
• 3+ years of transactional experience, preferably in corporate, commercial, or business law
• Strong experience drafting and negotiating commercial contracts, corporate governance documents, and business agreements
• Familiarity with entity formation, operating agreements, M&A work, and regulatory compliance matters
• Excellent legal research, writing, and analytical skills
• Strong communication skills and the ability to manage multiple matters independently
• Client-focused mindset and ability to work effectively with internal teams

Responsibilities

• Draft, review, and negotiate commercial contracts, including service agreements, partnership agreements, NDAs, and licensing documents
• Advise clients on corporate governance, compliance, and entity formation
• Assist with mergers, acquisitions, restructurings, and other business transactions
• Conduct legal research and prepare memoranda as needed
• Manage transactional matters from initial consultation through closing
• Collaborate with internal teams to support client objectives and ensure seamless execution of deals
• Maintain strong client relationships and provide ongoing strategic legal guidance
